    I would not say cultural due diligence as having identical weight to financial and legal work in every deal, but it should be treated as a core pillar rather than an afterthought, because culture directly determines whether synergies are deliverable in practice. Financials and legal confirm whether you can do the deal but culture tells you whether people, incentives, decision-making styles, and risk attitudes will actually support integration, cross-selling, and operating model changes. Significant cultural misalignment is an execution risk that should influence valuation, deal structure, leadership decisions, and the integration roadmap. Not all differences are fatal, but non-negotiables such as ethics, customer treatment, and accountability must align, while manageable differences should come with clear mitigation plans. Ignoring culture at due diligence stage usually means overestimating synergies.

    I do think cultural due diligence should carry the same weight, but the real issue is that solid methodologies are still lacking.
    Most cultural risks only become noticeable after the merger, when ineffective communication, a lack of transparency and a limited change management approach lead to demotivation, loss of talent and ultimately a failure to realise the expected synergies.

    When people don’t understand what’s happening or feel that they are not being guided through the transition, uncertainty fills the gaps.

    All too often, assessments rely on the opinions of senior management rather than the people who live the culture day to day. Without a deeper, more human approach in the early stages, integration challenges become inevitable.

    I’d say not as much as financial and legal – in the end, this is still a business transaction, where the finances have to make sense. Instead, I’d say cultural due diligence is woven into the financial and legal due diligence, as the financial gains won’t be possible without cultural integration and cultural mismatches lead to legal risk.
