    The increasing adoption of AI systems e data driven model brings to the forefront issues of poor governance of AI and data assets, which in turn can affect negatively privacy, compliance and the related liabilities. For example we could look into third parties restrictions on data use post acquisition or whether there are policies in the acquired companies about fairness of the AI systems. What do the indemnities and warranties in the acquired company’s contract say about AI data accuracy and output, if anything? As an acquirer are you going to inherit this liabilities? Probably in the future, LDD in tech-heavy sectors will need more specialized members to look into AI and data issues related to an acquired company.

    In my opinion, in tech-heavy deals, LDD needs more AI and data experts to analyze the Steal Brainrot Game contract and internal policies. Terms about fairness, accuracy, and data usage rights can determine the level of legal risk for the buyer.
