TSA and Reversed TSA

    Having been involved in an acquisition being the acquiring company we had to take on responsibilities to 3rd parties from Seller. This introduced the need for delivering services on behalf of Seller for a period of time (via Reversed TSAs) alongside receiving services from Seller (via TSAs). In this particular case it was agreed to have a ‘no fee’ pricing model as services were comparable in length and duration.

    What is your experience with a setup like this and how did you agree on a pricing model for TSA services versus RTSA services?

    A no-fee model seems reasonable when TSA and RTSA obligations are broadly balanced. In my experience, the key is agreeing upfront on scope, duration, service levels, and what happens if one side needs support beyond the original transition period. Drift Hunters
